Service Provider Agreement & KYC Policy

This document sets out the terms for service providers using PureHelpa, including independent-provider status, verification, conduct, customer information, the platform commission, payments, safety, suspension, termination and appeals.
1. Purpose
This Agreement governs the relationship between PureHelpa and an approved independent service provider using the PureHelpa platform.
2. Independent Provider Status
Unless a separate written employment agreement expressly states otherwise, the Provider operates as an independent service provider and is not automatically an employee, partner or agent of PureHelpa.
3. Provider Registration and KYC
PureHelpa may require the Provider to submit a legal name, photograph, telephone number, address, government-issued identification, payment information, service category, qualifications or licences where relevant, references and other information reasonably required for verification.
4. Verification
PureHelpa may verify provider identity, contact information, address, qualifications and other relevant information through lawful verification methods.
Verification does not constitute an unconditional guarantee of the Provider's character, qualifications or future conduct.
5. Provider Conduct
Providers must perform agreed services professionally, respect customer property, protect customer information, maintain appropriate hygiene and comply with applicable law.
Providers must not threaten, assault, sexually harass, stalk, intimidate, steal from or deliberately damage customer property.
6. Customer Information
Customer information received through PureHelpa may only be used for legitimate purposes connected with the service. Providers must not sell, publish or misuse customer information.
7. Pricing
Providers must charge the agreed or approved price. Additional charges must be communicated and accepted where required.
8. PureHelpa Commission
Unless otherwise agreed in writing, PureHelpa may charge a 5% platform commission on eligible transactions.
Example: for a ₦10,000 eligible transaction, the PureHelpa commission is ₦500 and the provider amount before other applicable deductions is ₦9,500.
9. Offline and Cash Payments
Where PureHelpa permits cash or offline payments, providers must accurately record or report the transaction as required.
Providers must not manipulate transaction records or falsely report cancellations, non-payment or transaction values.
10. Commission Avoidance
Providers must not deliberately manipulate PureHelpa transactions to evade an applicable platform commission, including by falsely cancelling bookings or falsifying transaction information.
11. Cancellations and No-Shows
Providers should cancel only where reasonably necessary and should notify the customer and PureHelpa as soon as reasonably possible if they cannot attend an accepted booking.
Repeated unreasonable cancellations or no-shows may result in account restrictions.
12. Safety and Serious Misconduct
Violence, threats, sexual misconduct, theft, serious harassment, fraud and deliberate property damage may result in immediate temporary suspension while PureHelpa investigates.
13. Suspension and Termination
PureHelpa may suspend or terminate a provider account for serious or repeated violations, fraud, theft, violence, serious harassment, identity fraud, payment manipulation, serious safety violations or unlawful activity.
14. Appeals
A provider may request a review of a suspension or termination and provide relevant evidence. PureHelpa may maintain restrictions while an investigation is ongoing.
15. Confidentiality
Providers must keep confidential information obtained through PureHelpa confidential except where disclosure is legally required or necessary to provide the service.
16. Tax and Insurance
Providers remain responsible for applicable personal tax obligations. PureHelpa may require insurance for particular service categories.
17. Data Protection
Provider KYC and personal information will be processed in accordance with PureHelpa's Privacy Policy and applicable Nigerian data-protection law.
18. Governing Law
This Agreement is governed by Nigerian law and applicable Plateau State law.
